1. Introduction

Welcome to the website of Nuvem Merengada Unipessoal Lda (“Nuvem Merengada”, “we”, “us” or “our”).

These Terms & Conditions (“Terms”) govern your use of our website and, where applicable, the provision of services by Nuvem Merengada.

Our website primarily provides information about our company and the services we may offer. The website does not provide online purchasing or payment functionality.

Submitting an enquiry through our contact form or contacting us does not, by itself, create a service contract or obligation for Nuvem Merengada to provide any service.

Where you engage Nuvem Merengada for a specific service, the applicable scope, fees, timelines and other conditions may be set out separately in a written proposal, quotation, service agreement or other written communication accepted by both parties.

2. Definitions

“Company” means Nuvem Merengada Unipessoal Lda.

“Client” means any individual, business, organisation or other party that engages the Company for services.

“Services” means the administrative, consultancy, documentation, coordination, trade, business or other services that the Company may provide, as specifically agreed with the Client.

“Work Product” means documents, reports, analyses, communications, materials or other work prepared by the Company specifically as part of an agreed service.

Where a service is provided to or on behalf of another individual (“End-User”), the Client remains responsible for ensuring that it has the necessary authority and permissions to act on that person’s behalf.

3. Use of the Website

You may use this website for lawful purposes and in accordance with these Terms.

You must not:

* Use the website for any unlawful or fraudulent purpose;

* Attempt to gain unauthorized access to the website or its systems;

* Introduce malicious software or other harmful material;

* Copy, reproduce or commercially exploit website content without our prior written permission;

* Use information obtained from the website to mislead, defraud or cause harm to another person.

We reserve the right to suspend or restrict access to the website where reasonably necessary for security, maintenance or legal reasons.

4. Information on the Website

We make reasonable efforts to ensure that information published on our website is accurate and up to date.

However, website information is provided for general informational purposes and should not be regarded as a guarantee that a particular service will be available, suitable for a particular individual, or produce a particular result.

Information concerning government procedures, immigration requirements, registrations, taxes, regulations or other administrative matters may change over time.

Where a Client engages us for a specific service, the applicable advice, scope and requirements will be determined based on the circumstances of that engagement and the information available at that time.

5. Nature and Scope of Services

Nuvem Merengada may provide administrative, consultancy, documentation, coordination and other business-related services, depending on the services agreed with the Client.

Where our services involve assisting with applications, registrations, filings or other submissions to public authorities or third parties, we act only within the scope agreed with the Client.

Unless expressly agreed otherwise in writing, Nuvem Merengada does not act as a court, government authority or other decision-making body.

6. No Legal or Governmental Representation

Nuvem Merengada is an administrative and consultancy service provider and is not a law firm.

Unless expressly provided by a suitably qualified professional under a separate engagement, our services do not constitute formal legal representation or legal advice.

Where applicable, we may assist clients with the preparation, organisation or administrative submission of documentation. Such assistance does not mean that we control or influence the decision of any government authority, regulator or other third party.

7. Government Decisions and Processing Times

Applications, registrations, permits, visas, immigration matters, tax matters, licences and other official procedures may be subject to the independent assessment and discretion of the relevant government authority or regulatory body.

Nuvem Merengada does not guarantee:

* Approval of an application or request;

* A particular immigration or administrative outcome;

* Issuance of a visa, permit, registration or licence;

* A particular processing time;

* Acceptance of documents by a government authority; or

* Any particular decision by a public authority.

Government processing times may vary and may be affected by circumstances outside our control.

8. Client Responsibilities

The Client is responsible for providing information and documentation that is:

* Accurate;

* Complete;

* Authentic;

* Current; and

* Lawfully obtained.

The Client must promptly inform Nuvem Merengada of any changes that may affect the service being provided.

The Client must not knowingly provide false, forged, misleading or fraudulent information or documents.

Nuvem Merengada will not be responsible for adverse consequences resulting from inaccurate, incomplete, fraudulent, outdated or late information supplied by the Client.

9. Third-Party or End-User Information

Where a Client provides personal data or documents belonging to another person, the Client is responsible for ensuring that it has the necessary authority and lawful basis to provide such information to Nuvem Merengada.

This is particularly relevant where a business, intermediary or other organisation engages Nuvem Merengada on behalf of another individual.

Nuvem Merengada will process personal data in accordance with applicable data protection legislation and its Privacy Policy.

10. Service Timelines

Any estimated service timeline will be communicated to the Client where appropriate.

Unless expressly agreed in writing, stated timelines are estimates and may depend on the Client providing the necessary information and documents on time.

Where the service depends on a government authority, regulator, third party or external provider, the relevant processing time is outside Nuvem Merengada’s control.

11. Fees and Payments

Fees for specific services will be communicated to the Client through a quotation, proposal, service agreement, invoice or other written communication.

Unless expressly stated otherwise:

* Fees are quoted in euros (€);

* Government fees, taxes, official charges and third-party fees are separate from Nuvem Merengada’s service fees;

* The Client is responsible for applicable government and third-party charges; and

* Payments are arranged separately from the website.

No payment processing is currently available through the website.

Payment methods and payment deadlines will be communicated to the Client before or during the relevant engagement.

12. Cancellation and Refunds

Where a specific service has been agreed, cancellation and refund arrangements will depend on the nature and stage of the work.

Where work has already commenced, Nuvem Merengada may retain amounts corresponding to services already performed and reasonable costs already incurred, subject to applicable law and any specific agreement with the Client.

Nothing in these Terms is intended to exclude or restrict any mandatory consumer rights that cannot lawfully be excluded.

13. Intellectual Property

Unless otherwise agreed in writing, the website and its content, including text, graphics, logos, design elements and other materials, belong to or are lawfully used by Nuvem Merengada and may not be reproduced or commercially exploited without prior written permission.

Where Nuvem Merengada prepares specific Work Product for a Client, the Client may use that Work Product for the purpose for which it was prepared, subject to any specific agreement between the parties.

Nuvem Merengada retains ownership of its general methodologies, templates, processes, know-how and internal tools.

14. Confidentiality and Data Protection

Nuvem Merengada will handle Client information and personal data in accordance with applicable Portuguese and European data protection laws.

Personal data collected through the website is processed in accordance with our Privacy Policy.

Clients should provide only information reasonably necessary for the relevant enquiry or service.

Where sensitive or confidential documentation is required, Nuvem Merengada may specify an appropriate method for securely transmitting such information.

15. Prohibited Conduct

Clients must not use Nuvem Merengada’s services to:

* Submit fraudulent, forged or misleading information;

* Facilitate unlawful activity;

* Commit or facilitate fraud, identity theft, tax evasion or other illegal conduct;

* Circumvent applicable laws or regulatory requirements;

* Misrepresent their identity or circumstances; or

* Threaten, harass or abuse Nuvem Merengada personnel.

Where reasonably necessary or legally required, Nuvem Merengada may refuse or terminate services in response to suspected unlawful or fraudulent activity.

16. Termination of Services

Either party may terminate an ongoing service engagement in accordance with the applicable service agreement or, where no specific arrangement exists, by providing reasonable written notice.

Nuvem Merengada may suspend or terminate services where:

* The Client provides fraudulent or materially misleading information;

* The Client materially breaches these Terms;

* Required payments remain overdue;

* Continuing the service would reasonably expose Nuvem Merengada to legal or regulatory risk; or

* The Client engages in abusive or threatening conduct.

Termination does not affect rights or obligations that accrued before termination.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Nuvem Merengada will not be liable for indirect, incidental, consequential or special losses arising from the use of the website or services.

Nuvem Merengada will not be responsible for:

* Decisions, delays or actions of government authorities or other third parties;

* Rejection or refusal of applications or submissions by an authority;

* Changes in laws, regulations, procedures or government policies;

* Consequences resulting from inaccurate or incomplete information supplied by the Client;

* Events outside the Company’s reasonable control; or

* Temporary unavailability of the website caused by technical or other circumstances beyond our reasonable control.

For services provided under a specific engagement, and subject to applicable law, the Company’s aggregate liability for direct losses arising from that engagement shall not exceed the service fees actually paid by the Client for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

18. Indemnification

To the extent permitted by applicable law, the Client may be responsible for losses, claims, penalties or costs suffered by Nuvem Merengada as a direct result of:

* Fraudulent or knowingly false information supplied by the Client;

* Unlawful use of our services;

* Material breach of these Terms; or

* Unauthorized submission of another person’s personal data or documents.

This provision does not limit any rights that the Client may have under mandatory applicable law.

19. Third-Party Websites and Services

Our website may contain links to third-party websites, platforms or services.

These links are provided for convenience or informational purposes. Nuvem Merengada does not control and is not responsible for the content, availability, security or privacy practices of third-party websites.

Users should review the relevant third party’s terms and privacy policy before using its services or providing personal information.

20. Force Majeure

Nuvem Merengada will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, serious network or system failures, government actions, strikes, war, pandemics, power failures or other comparable events.

Where reasonably practicable, we will take reasonable steps to notify affected Clients and resume services as soon as possible.

21. Complaints and Dispute Resolution

If you have a complaint concerning our services, we encourage you to contact us first so that we may attempt to resolve the matter amicably.

Nothing in these Terms prevents a consumer from exercising any mandatory rights available under Portuguese or European law, including applicable consumer dispute-resolution or complaint mechanisms.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal.

Any dispute arising from these Terms or from services provided by Nuvem Merengada shall be subject to the jurisdiction of the competent Portuguese courts, without prejudice to any mandatory rights or jurisdictional protections available to consumers under applicable Portuguese or European law.

23. Changes to These Terms

Nuvem Merengada may update these Terms from time to time to reflect changes in our website, services or applicable legal requirements.

The current version will be published on this website with the applicable “Last Updated” date.

Changes to these Terms will not retroactively alter the terms of a specific service agreement already concluded unless permitted by law or agreed by the parties.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable under applicable law, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable.

The remaining provisions will continue to apply.
